These Terms of Service ("Terms") govern your use of the Syncore Online LLC ("Syncore," "we," "us," or "our") website and any services we provide. By accessing our website or engaging our services, you agree to these Terms.

Deliverables. Deliverables provided under a Service Agreement are subject to the warranties (if any) expressly stated in that agreement. Absent such express warranties, deliverables are provided "as is."

To the maximum extent permitted by applicable law:

  • No indirect damages. Syncore and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunities.
  • Liability cap. Our total aggregate liability for any claims arising from or related to these Terms, our website, or our services shall not exceed the amount paid by you to us for the specific services giving rise to the claim in the twelve (12) months preceding the claim, or one hundred United States dollars (USD $100), whichever is greater.
  • Scope applies. The foregoing limitations apply whether the claim is based on contract, tort, negligence, strict liability, or any other theory, even if we have been advised of the possibility of such damages.

6. Indemnification

You agree to indemnify, defend, and hold harmless Syncore and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our website or services; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) content or data you provide to us; (e) your negligence or misconduct; or (f) any dispute between you and a third party.

7. Client Responsibilities

When engaging our services, you acknowledge and agree that:

  • Accuracy and legality. You are responsible for the accuracy, legality, and appropriateness of all content, data, and materials you provide to us.
  • Licenses and permissions. You are responsible for obtaining any necessary licenses, consents, or permissions for materials you provide.
  • Compliance. You are responsible for your compliance with applicable laws, including data protection, privacy, and industry regulations.
  • Third-party services. Third-party services, APIs, platforms, or infrastructure you choose (or that we use at your direction) are subject to their own terms; we are not responsible for third-party service failures or limitations.
  • Delays. Delays or failures caused by your late provision of materials, feedback, or approvals are not our responsibility.

8. Intellectual Property

Unless otherwise agreed in a Service Agreement, we retain ownership of our pre-existing intellectual property, tools, methodologies, and know-how. Ownership of deliverables will be as specified in the Service Agreement. You grant us a license to use your materials as necessary to perform the services.

9. Confidentiality

Each party agrees to keep confidential information of the other party confidential, except as required by law or with consent. Confidentiality obligations will be further defined in Service Agreements where applicable.

10. Termination

We may suspend or terminate your access to our website or services at any time, with or without cause or notice. Upon termination, your right to use our website and services ceases immediately. Provisions that by their nature should survive (including disclaimers, limitation of liability, and indemnification) will survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Syncore Online LLC is incorporated, without regard to conflict of law principles. Any dispute arising from these Terms or our services shall be resolved through binding arbitration or in the courts of that jurisdiction, as specified in the applicable Service Agreement or as we may designate.

12. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

13. Changes

We may modify these Terms at any time. Continued use of our website or services after changes constitutes acceptance. Material changes will be indicated by updating the "Last updated" date. We encourage you to review these Terms periodically.
